What a labour contract with a director or department head needs beyond a staff contract

8 sectionsAbout 4 min readUpdated 01/10/2026

A hired director, a branch director and a chief accountant all sign a labour contract just as other employees do, but their contract has to answer questions a staff contract does not: what this person may sign on the company's behalf, how much they may spend, which targets their bonus is based on, and how far confidentiality reaches once they leave. This article shows how to write a labour contract template for executives (người quản lý điều hành) and what the person taking up the post should read carefully.

Which type of contract executives sign

A hired director, a department head and a chief accountant all receive a salary and are directed by the company, so under Article 13 of the Labour Code 2019 (Bộ luật Lao động 2019) their contract is a labour contract. The Law on Enterprises 2020 (Luật Doanh nghiệp 2020) defines who counts as an enterprise manager and, through the company charter, who has authority to sign a contract with that person; a contract with a hired director is therefore signed by whoever holds that authority under the charter, not by the director on their own behalf.

Authority, delegation and limits

The template on Việc Hot states that the employee may sign and approve within the scope delegated in writing and in line with the charter and internal regulations, and that any transaction beyond that authority requires prior approval from the competent level. The contract should come with an authorisation decision setting specific limits; without this document, a transaction a branch director signs with a partner may still bind the company.

An authority clause written the right way

Article 3. Authority and delegation

The employee may sign sale and service contracts worth up to 500,000,000 VND per contract and approve the branch's operating expenses within the annual budget approved by the Board of Directors, under Authorisation Decision No. 05/2026/QD-HDQT.

Transactions above this limit, transactions with related parties and the recruitment of managerial staff require the General Director's written approval before they are carried out.

Salary, position allowance and target-based bonus

A performance bonus only has force when the contract or an appendix states the targets, the review period, the formula and the payment date. The phrase "bonus at the discretion of the Board of Directors" means there is no right to claim a bonus. A complete example: a bonus of 2% of the branch's pre-tax profit, based on the audited annual financial statements, paid in April of the following year, on condition that revenue reaches at least 90% of plan.

Confidentiality, conflicts of interest and non-compete clauses

The template includes a clause on keeping business secrets and technology secrets during and after employment under a separate confidentiality agreement, together with an undertaking not to run another business in the same industry at the same time without written approval. Both rest on Article 21(2), which allows written agreements on protecting business and technology secrets, and both are best set out in a separate non-disclosure agreement signed alongside the contract.

A clause banning work for competitors after leaving is a different matter. Labour law has no specific provision for this kind of undertaking, while Article 35 guarantees the employee's right to terminate the contract unilaterally. A business that still wants one should draft it narrowly: named competitors or a specific market segment, a short duration, and compensation for the restricted period.

What the incoming executive should check before signing

  • An appointment decision and an authorisation decision come with the contract, with signing and spending limits stated in figures.
  • The bonus has targets, a formula, a review period and a payment date, not just "at the discretion of the company".
  • The probation period matches your category: 180 days only if you are an enterprise manager under the Law on Enterprises.
  • Your personal liability for transactions beyond your authority is clearly defined, and you do not carry the company's business risks in its place.
  • The confidentiality agreement has a duration and a scope; any non-compete clause names the competitors, the duration and the compensation.

Common employer mistakes with executive contracts

A 180-day probation for a department head is the most frequent mistake, because that length is reserved for enterprise managers. The second is having no written authorisation decision, which later leads to arguments with partners over whether the branch director was entitled to sign. The third is writing the bonus without a formula, which leads to complaints when the manager leaves mid-year. The fourth is letting the director sign their own labour contract instead of the person with authority under the charter.

Drafting an executive contract on Việc Hot

  1. Choose the executive template and the industry

Management and consulting adds clauses on the confidentiality of management information and decision-making authority; banking and finance adds conflicts of interest and compliance.

  2. Fill in the position, management scope, salary and bonus

Enter the position, the department in charge, the salary, the position allowance and how the bonus is calculated. Turn on "View by role" to read the notes for the person being hired.

  3. Check the warnings, print and save

The "Notes and checks" tab flags a term of more than 36 months or a missing place of work. The contract is saved in your account and prints directly.

Frequently asked questions

A hired director who receives a salary and is directed by the owner or the board of directors signs a labour contract, with the person who has authority under the charter signing for the company. A capital contributor who also runs the company follows the charter and the Law on Enterprises.

Only enterprise managers under the Law on Enterprises, such as the director or general director. Department heads and team leaders have a maximum probation of 60 days if the job requires a college qualification or higher.

The salary used for social insurance and health insurance contributions is capped at 20 times the reference level, which is 50,600,000 VND from 1 July 2026. The part of the salary above the ceiling attracts no insurance contributions but is still subject to personal income tax.

Labour law only provides for agreements protecting business and technology secrets. Only accept an undertaking not to work for competitors if it is narrow in scope, short in duration and comes with compensation; its validity is assessed case by case.
