Collaborator contracts versus labour contracts: the Article 13 line and the risks of misuse

6 sectionsAbout 4 min readUpdated 01/10/2026

A freelance collaborator contract (hợp đồng cộng tác viên) is used for people who write articles, translate documents, run ads or close sales on commission. In substance it is a service contract under the Civil Code, but the name on the paper decides nothing: if the company tracks attendance, assigns work daily and pays a monthly salary, Article 13 of the Labour Code treats it as a labour contract. This article draws the line, sets out the risks for each side and explains how to draft the template correctly.

A collaborator contract is a civil relationship, not an employment relationship

The Việc Hot template cites Article 513 of the Civil Code 2015 (Bộ luật Dân sự 2015) on service contracts as its legal basis: the provider performs the work and the user pays for the service. A genuine collaborator decides their own time, methods and tools; is paid per piece of work or per period after acceptance; and has no monthly salary, no attendance tracking and no discipline under the internal labour rules. As a result, there is no social insurance, annual leave or severance allowance, while personal income tax (PIT) is withheld at source from the fee before payment, and the template already includes this line. Correct examples: an editor who writes 8 articles a month for a magazine at 600,000 VND per article; an engineer who produces structural drawings project by project; a sales collaborator who earns commission on closed orders and does not have to sit in an office.

Article 13: the line between a collaborator and a labour contract

Article 13 of the Labour Code 2019 (Bộ luật Lao động 2019) is explicit: an agreement under a different name that involves paid work, wages and management, direction and supervision by one party is deemed to be a labour contract. Labour inspectors and courts look at how the two parties actually work, not at the title of the document.

The risks for the business and for the collaborator when the contract is misused

For the business, the risk erupts at termination. A "collaborator" who has worked full time for two years and is let go by text message with 15 days' notice has grounds to ask for the arrangement to be recognised as a labour contract, and to claim insurance for the full two years plus the entitlements of an indefinite-term contract, including the 45-day notice period. For the collaborator, the price is no health insurance when ill, no unemployment benefit after losing the work, no annual leave, late payment because fees depend on acceptance, and tax withheld at source without the family deduction being applied. If in practice you work like an employee, ask for a labour contract; if you want real freedom, keep the arrangement true to form: no attendance tracking, your own choice of hours, and the right to take on work elsewhere.

Clauses a collaborator contract needs

  • The scope of collaboration described in terms of deliverables, quantities and acceptance standards, not working hours.
  • Fees per piece of work or per period, acceptance milestones, payment dates and the personal income tax withheld before payment.
  • The right to decide time, place and method, and the right to take work from other parties where there is no conflict of interest.
  • Ownership of the delivered work and the collaborator's right to include it in their portfolio.
  • Confidentiality of information and customer data accessed during the collaboration.
  • How to terminate: the Việc Hot template provides for at least 15 days' notice from either party and payment for work already accepted.

A correctly worded clause on the nature of the relationship

Article 4. Nature of the collaboration: Party B decides the time, place and manner of performance, bears sole responsibility for the results of the work, and is not subject to management or direction under Party A's internal labour rules. This contract does not give rise to an employment relationship; Party B arranges their own insurance as needed.

Click "Use this template" and choose an industry to get its specific clauses: marketing and communications gets copyright in content and images, information technology gets source code ownership. Fill in both parties, the scope of collaboration, the term, the fee and the payment date. The editor alerts you as soon as you set fixed working hours: if there is also management and supervision as for an employee, you must switch to a labour contract. Once finished, print it directly or send the collaborator a link to read before signing.

Frequently asked questions

If in practice you are managed, have your attendance tracked and receive a monthly salary, it is a labour contract, and the company must sign one and pay insurance where the term is one full month or longer.
